Your Key Responsibilities:
Your responsibilities include, but not limited to:
  • Independently oversee the calendar and activities of the Board of Directors of Sandoz; support the Corporate Secretary in all organizational matters in relation to the Board.

  • Management of the Board Office: Keep overview of recurring tasks and compliance actions (e.g. quiet periods), support Corporate Secretary regarding input to the Annual Report (verify number of Board Meetings, attendees at meetings, coordination for update of Board Members’ biographies, etc.), regarding the drafting of the yearly meeting calendar and board booklet up-dates (issue updates 1-2 x p.a.). Organize potential meetings/travel schedules for Board Members that are not related to Board Meetings and set-up on-boarding of new board members (IT set up, US visa, Induction Programs, etc.).

  • Organization of board meetings: coordinating presentations, pre-reads and finalization of minutes as well as all planning and logistics activities surrounding meetings and events. Negotiation and organization with vendors for external board meetings internationally and locally, transportation and venue finding; travelling with the Board to all external activities.

  • First point of contact for all organizational queries of board members and shareholders (via share registry, in particular in relation to Annual General Meeting).

  • Planning and coordination of the Annual General Meeting in support of the Corporate Secretary: creation of invitations and other supporting documentation, website set-up and script for the Chairman. Alignment of look and feel according to branding guidelines for invitation, decoration, presentations and giveaways as well as negotiations with location providers, IT services and catering. Organization of other corporate events as required.

  • Coordination with external vendors such as the shareholder register and independent proxy, in particular towards the AGM; also with regards to non-disclosure agreements, oversight of database and documentation on insiders for confidential projects.

Minimum requirements

What you’ll bring to the role:
  • 7+ years of experience as Paralegal, Executive Assistant, project manager or in a similar role
  • Significant experience in a Board Office, working for a General Counsel or Corporate Secretary, driving the preparation and organization of shareholder and board meetings in a publicly traded company (preferably Swiss listed)
  • Proficiency in English and German (written and spoken), strong preference for a candidate with additional proficiency in French
